Terms of Service

1. Agreement to terms

By installing or using Geopad ("the App"), you agree to these Terms of Service. The App is provided by Apex Orbis Ltd ("we", "us", "our"). If you do not agree to these terms, do not install or use the App.

2. What the App does

Geopad audits your Shopify store across six dimensions — product data quality, SEO metadata, structured data, theme health, content depth, and image quality — and provides AI-powered optimization suggestions. The App can, with your explicit approval, write changes to your product data, blog content, and store metadata via the Shopify Admin API.

3. Data access and permissions

When you install the App, you grant it access to the following Shopify API scopes:

• read_products, write_products — to scan product data and apply AI-generated improvements
• read_themes — to analyze your theme for health and performance issues
• read_content, write_content — to audit blog content and publish AI-generated articles

The App only writes to your store when you explicitly trigger an action (e.g. "Apply fix" or "Publish article"). Automated writes require prior opt-in via the automation settings page.

4. AI-generated content

The App uses the Anthropic Claude API to generate product descriptions, meta tags, blog articles, image alt text, and FAQ content. AI-generated content is provided as suggestions that you review and approve before applying. You are responsible for reviewing all AI-generated content before it is published to your live store.

We do not guarantee that AI-generated content will be factually accurate, free of errors, or suitable for your specific use case. AI-generated content should not include fabricated product specifications, certifications, or test results.

5. Billing and subscriptions

The App offers a free tier and paid subscription plans. Paid subscriptions are billed through Shopify's managed billing system. By approving a subscription charge in your Shopify admin, you authorize recurring charges according to your selected plan.

Plan features, pricing, and usage limits are displayed on the Plans page within the App. We may update pricing for new subscribers; your active plan price is locked until you change plans.

6. Cancellation and refunds

You may cancel your subscription at any time by uninstalling the App from your Shopify admin. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused portions of a billing period.

Upon uninstallation, we delete your stored data as described in our Privacy Policy. Any changes the App made to your store (product descriptions, meta tags, blog posts) remain in your store after uninstallation — we do not revert applied changes.

7. Acceptable use

You agree not to:

• Use the App to generate misleading, deceptive, or unlawful content
• Attempt to reverse-engineer, copy, or redistribute the App's code, AI prompts, or optimization methodology
• Use the App in a way that violates Shopify's Terms of Service or Acceptable Use Policy
• Share your subscription with stores not covered by your plan
• Circumvent usage limits or billing through technical manipulation

8. Intellectual property

The App, including its code, design, AI prompts, scoring methodology, and optimization algorithms, is the intellectual property of Apex Orbis Ltd. AI-generated content created for your store becomes your property once applied.

9. Limitation of liability

The App is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of the App, including but not limited to changes in search engine rankings, lost revenue, or data loss.

Our total liability for any claim arising from these terms or your use of the App is limited to the amount you paid for the App in the 12 months preceding the claim.

10. Service availability

We aim to keep the App available and functional but do not guarantee uninterrupted service. The App depends on third-party services (Shopify API, Anthropic API) that may experience downtime or changes outside our control.

11. Changes to these terms

We may update these terms from time to time. Material changes will be communicated through the App interface. Continued use of the App after changes constitutes acceptance of the updated terms.

12. Governing law

These terms are governed by the laws of England and Wales. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
